Rosecord Terms of Service

ACCEPTANCE OF TERMS

Welcome to Rosecord ("we," "us," "our," or the "Movement"). By accessing or using our website at rosecord.com (the "Website"), participating in our platform, or any other platforms or services we operate (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms").

IF YOU DO NOT AGREE TO THESE TERMS, DO NOT USE THE SERVICES.

By using our Services, you represent that you are at least 13 years of age. If you are under 18 years of age, you represent that you have obtained parental or guardian consent to use our Services.

1. DESCRIPTION OF SERVICES

Rosecord is grassroots political messaging platform dedicated to defending democratic norms, protecting constitutional rights, and organizing resistance against authoritarianism. Our Services include:

  • Website: Information, resources, and calls to action
  • Community Platform: Platform for users to connect and share messages
  • Events and Actions: Coordination of protests, rallies, and political activism
  • Educational Resources: Information about civic engagement methods

We reserve the right to modify, suspend, or discontinue any aspect of our Services at any time without notice.

2. USER ACCOUNTS AND REGISTRATION

2.1 Account Creation

When you register for our Services, you may be required to provide information such as your name, email address, phone number, zip code, and other contact information. You agree to provide accurate, current, and complete information during the registration process.

2.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to immediately notify us of any unauthorized use of your account.

2.3 Account Termination

We reserve the right to suspend or terminate your account at any time, with or without cause, and with or without notice.

3. USER CONDUCT AND CONTENT

3.1 Acceptable Use

You agree to use our Services only for lawful purposes and in accordance with these Terms. You agree not to:

  • Violate any applicable local, state, national, or international law
  • Infringe upon or violate our intellectual property rights or the rights of others
  • Harass, abuse, intimidate, harm, defame, slander, or disparage any person
  • Upload, transmit, or distribute any viruses, malware, or other harmful code
  • Engage in any conduct that restricts or inhibits anyone's use of the Services
  • Impersonate any person or entity or falsely state or misrepresent your affiliation
  • Interfere with or disrupt the Services or servers or networks connected to the Services

3.2 User-Generated Content

Our Services may allow you to post, submit, publish, or transmit content, including but not limited to text, images, videos, comments, and other materials ("User Content"). By posting User Content to our Services, you grant us a perpetual, irrevocable, worldwide, royalty-free, non-exclusive, transferable, and sublicensable license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, perform, and display such User Content in any and all media or distribution methods (now known or later developed) for any purpose, including but not limited to promoting and redistributing part or all of the Services.

3.3 Content Monitoring

We reserve the right, but have no obligation, to monitor, edit, or remove any User Content at our sole discretion, including but not limited to User Content that we determine violates these Terms or is otherwise objectionable.

4. INTELLECTUAL PROPERTY RIGHTS

4.1 Our Content

The Services and their entire contents, features, and functionality (including but not limited to all information, software, text, displays, images, video, and audio, and the design, selection, and arrangement thereof) are owned by Rosecord, its licensors, or other providers of such material and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or property right laws.

4.2 Limited License

We grant you a limited, non-exclusive, non-transferable, non-sublicensable license to access and use the Services for your personal, non-commercial use. This license does not include any resale or commercial use of the Services or their contents.

4.3 Trademarks

The Rosecord name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of Rosecordor its affiliates or licensors. You must not use such marks without our prior written permission.

5. Privacy and Data Collection

5.1 Privacy Policy

Your use of our Services is also governed by our Privacy Policy, which is incorporated into these Terms by reference.

5.2 Data Collection and Usage Rights

BY USING OUR SERVICES, YOU EXPRESSLY ACKNOWLEDGE AND AGREE THAT:

  1. Data Ownership and License: Any and all data, information, content, communications, images, videos, audio, metadata, analytics, usage patterns, behavioral data, demographic information, location data, device information, contact lists, social media connections, political preferences, voting history, attendance records, participation data, contribution data, and any other information of any kind that you submit, upload, transmit, share, post, or otherwise make available through or in connection with our Services, or that is collected, generated, or derived from your use of our Services (collectively, "User Data"), shall become our property upon submission or collection.
  2. Perpetual and Irrevocable Rights:You hereby grant to Rosecord and its affiliates, partners, successors, and assigns a perpetual, irrevocable, worldwide, royalty-free, fully paid-up, transferable, sublicensable (through multiple tiers), and non-exclusive license and right to access, use, reproduce, distribute, modify, adapt, prepare derivative works of, display, perform, commercialize, sell, license, and otherwise exploit your User Data in any manner whatsoever, in any and all media or distribution methods (whether now known or hereafter developed), for any purpose whatsoever, including but not limited to:
    • Research and Analysis: Conducting research, analysis, and data mining for political, commercial, or any other purposes
    • Commercial Exploitation:Selling, licensing, or otherwise commercializing User Data to third parties, including but not limited to political organizations, campaigns, data brokers, advertisers, marketing companies, analytics firms, and any other entities
    • Database Compilation:Incorporating User Data into databases, lists, or other compilations that may be sold, licensed, or otherwise distributed
    • Artificial Intelligence and Machine Learning:Training, developing, testing, and improving artificial intelligence models, machine learning algorithms, natural language processing systems, and other automated or computational systems
    • Political Organizing:Using User Data for political organizing, campaign activities, voter targeting, persuasion efforts, fundraising, and mobilization
    • Derivative Works:Creating derivative works, analyses, reports, profiles, and insights based on User Data
    • Marketing and Advertising:Using User Data for targeted marketing, advertising, and promotional purposes
    • Cross-Platform Integration:Combining User Data with data from other sources, platforms, or services
    • Transfer and Assignment:Transferring or assigning User Data to third parties in connection with mergers, acquisitions, asset sales, or other business transactions
  3. Community Platform Data: All communications, messages, posts, comments, images, videos, files, and any other content shared through our Discord server, Reddit community, Signal group, or any other community platforms we operate shall be considered User Data subject to the same rights and licenses described in this Section 5.2. By participating in these community platforms, you acknowledge that your communications and content may flow through third-party services (such as Discord, Inc., Reddit, Inc., and Signal Messenger, LLC) and that we claim all rights to such data to the maximum extent permitted by law and the terms of service of such third-party platforms.
  4. Waiver of Rights: You irrevocably waive any and all rights, claims, and causes of action you may have against Rosecord, its affiliates, officers, directors, employees, agents, partners, successors, and assigns arising out of or relating to our use, disclosure, or exploitation of User Data as described in these Terms, including but not limited to claims for invasion of privacy, defamation, publicity rights, copyright infringement, or any other legal theory.
  5. No Compensation: You acknowledge and agree that you shall not be entitled to any compensation, attribution, or consideration of any kind in connection with our use of User Data, regardless of the manner, extent, or commercial value of such use.
  6. Monitoring and Surveillance: We reserve the right to monitor, record, analyze, and retain all activities, communications, and interactions occurring through our Services, including but not limited to messages, posts, voice communications, video calls, screen shares, file transfers, and usage patterns. This monitoring may be conducted using automated systems, artificial intelligence, human review, or any combination thereof.
  7. Third-Party Sharing: We may share User Data with any third parties we choose, at our sole discretion, without restriction and without notice to you. This includes, but is not limited to, sharing with political organizations, campaigns, data brokers, advertisers, analytics firms, researchers, government entities, law enforcement, and any other parties for any purpose whatsoever.
  8. Data Retention: We may retain User Data indefinitely, even after you terminate your account or cease using our Services. We have no obligation to delete, anonymize, or otherwise remove User Data at your request or at any time.
  9. International Transfer: User Data may be transferred to, stored, and processed in any country where we or our service providers operate. By using our Services, you consent to the transfer of User Data outside your country of residence, which may have different data protection rules than your country.
  10. Changes to Data Practices: We reserve the right to change our data collection, use, and sharing practices at any time, with or without notice. Your continued use of our Services following any such changes constitutes your acceptance of the new practices.

5.3 Information Collected Automatically

When you access or use our Services, we automatically collect information about you, including but not limited to:

  • Device Information: IP address, browser type, operating system, device identifiers, and hardware model
  • Usage Information: Pages visited, features used, time spent on pages, links clicked, and other usage statistics
  • Location Information: Precise or approximate geographic location derived from IP address, GPS, or other location-sensing technologies
  • Communication Data: Metadata associated with communications, including timestamps, participants, and message lengths
  • Social Network Information: Data from your social media profiles when you connect your accounts or interact with our Services through social media platforms

We use cookies, web beacons, pixels, tags, and other tracking technologies to collect information about your browsing activities over time and across different websites and services. This information may be used to deliver targeted advertising, analyze usage patterns, and improve our Services. 6. COMMUNICATIONS FROM US

6.1 Promotional Communications

By providing your contact information, you consent to receive promotional communications from us, including but not limited to:

  • Email newsletters and updates
  • Text messages and SMS alerts
  • Phone calls (including automated and pre-recorded calls)
  • Direct mail
  • Push notifications
  • Social media messages

You may opt out of promotional communications by following the unsubscribe instructions contained in such communications, but you may not opt out of non-promotional, transactional, or relationship communications.

6.2 Transactional Communications

We may send you transactional or relationship communications regarding your account, donations, or use of our Services. You cannot opt out of these communications unless you terminate your account.

7. THIRD-PARTY LINKS AND SERVICES

Our Services may contain links to third-party websites, applications, or services that are not owned or controlled by us. We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party websites or services. You acknowledge and agree that we shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with the use of or reliance on any such content, goods, or services available on or through any such third-party websites or services.

8. DONATIONS AND FINANCIAL CONTRIBUTIONS

8.1 Contribution Processing

All financial contributions to Rosecord are processed through third-party payment processors. By making a contribution, you agree to the terms and conditions of our payment processors.

8.2 No Refunds

All contributions to Rosecord are final and non-refundable except as required by law. Contributions are voluntary and are not in exchange for goods or services.

8.3 Contribution Limits and Legality

You represent and warrant that any contribution you make complies with all applicable laws and regulations, including campaign finance laws. You are responsible for determining the legality of your contributions.

8.4 Use of Contributions

Contributions may be used for any lawful purpose in furtherance of Rosecord's mission, including but not limited to political organizing, advocacy, education, administrative expenses, fundraising, and transfers to affiliated organizations or campaigns. We have sole discretion in determining how contributions are used.

9. DISCLAIMERS AND LIMITATIONS OF LIABILITY

9.1 "AS IS" and "AS AVAILABLE"

THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, ROSECORD DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

9.2 No Warranty of Accuracy or Reliability

We do not warrant that the Services will be uninterrupted, timely, secure, or error-free. We do not warrant that the results obtained from the use of the Services will be accurate or reliable. We do not warrant that defects will be corrected, or that the Services or the servers that make them available are free of viruses or other harmful components.

9.3 Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT SHALL ROSECORD, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

  1. YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICES;
  2. ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICES;
  3. ANY CONTENT OBTAINED FROM THE SERVICES;
  4. UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT;
  5. ANY DATA BREACHES OR SECURITY INCIDENTS;
  6. ANY DAMAGES ARISING FROM YOUR PARTICIPATION IN PROTESTS, RALLIES, OR OTHER POLITICAL ACTIVITIES ORGANIZED OR PROMOTED THROUGH OUR SERVICES;

WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), PRODUCT LIABILITY, OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT WE HAVE BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGE.

9.4 Maximum Liability

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL DAMAGES, LOSSES, OR CAUSES OF ACTION EXCEED ONE HUNDRED DOLLARS ($100.00) OR THE AMOUNT YOU HAVE PAID TO US IN THE LAST TWELVE (12) MONTHS, WHICHEVER IS GREATER.

9.5 Assumption of Risk

You acknowledge and agree that participation in political activism, protests, rallies, and demonstrations carries inherent risks, including but not limited to risks of property damage, personal injury, arrest, and criminal prosecution. You voluntarily assume all such risks and agree that Rosecord shall not be liable for any injuries, damages, or losses you may suffer as a result of your participation in activities organized or promoted through our Services.

10. INDEMNIFICATION

You agree to defend, indemnify, and hold harmless Rosecord, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:

  1. Your violation of these Terms or any applicable law or regulation;
  2. Your violation of any rights of any third party;
  3. Your User Content or User Data;
  4. Your use or misuse of the Services;
  5. Your participation in any activities organized or promoted through our Services;
  6. Any false, inaccurate, or misleading information you provide to us;

11. DISPUTE RESOLUTION AND ARBITRATION

11.1 Governing Law

These Terms and any dispute or claim arising out of or in connection with them or their subject matter shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions.

11.2 Mandatory Arbitration

YOU AND ROSECORD AGREE THAT ANY DISPUTE, CLAIM, OR CONTROVERSY BETWEEN YOU AND US ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES SHALL BE RESOLVED SOLELY AND EXCLUSIVELY BY BINDING ARBITRATION RATHER THAN IN COURT, except that you may assert claims in small claims court if your claims qualify.

The Federal Arbitration Act and federal arbitration law apply to these Terms. There is no judge or jury in arbitration, and court review of an arbitration award is limited.

11.3 Arbitration Procedure

The arbitration shall be conducted by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The AAA's rules are available at www.adr.org or by calling 1-800-778-7879. The arbitration shall take place in Wilmington, Delaware, unless the parties agree otherwise.

11.4 Class Action Waiver

YOU AND ROSECORD AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING. Unless both you and we agree otherwise, the arbitrator may not consolidate more than one person's claims and may not otherwise preside over any form of a representative or class proceeding.

11.5 Opt-Out

You have the right to opt out of this arbitration agreement by sending written notice of your decision to opt out to our contact email address within thirty (30) days of first agreeing to these Terms.

11.6 Venue

If for any reason a Dispute proceeds in court rather than in arbitration, such Dispute shall be brought exclusively in the federal or state courts located in Wilmington, Delaware, and you consent to the jurisdiction of and venue in such courts.

12. MODIFICATIONS TO TERMS

We reserve the right to modify these Terms at any time, in our sole discretion. We will provide notice of material changes by posting the updated Terms on our Website and updating the "Last Updated" date at the top of these Terms. Your continued use of our Services following the posting of revised Terms means that you accept and agree to the changes.

13. TERMINATION

13.1 Termination by You

You may terminate your account and cease using our Services at any time by contacting us. However, your termination does not affect any licenses, rights, or obligations that arose prior to termination, including but not limited to our rights to User Data as described in Section 5.2.

13.2 Termination by Us

We may terminate or suspend your access to all or part of our Services immediately, without prior notice or liability, for any reason whatsoever, including but not limited to if you breach these Terms.

13.3 Effect of Termination

Upon termination, your right to use the Services will immediately cease. However, we retain all rights to User Data as described in Section 5.2, and such rights shall survive indefinitely regardless of termination.

14. MISCELLANEOUS PROVISIONS

14.1 Entire Agreement

These Terms, together with our Privacy Policy and any other legal notices or agreements published by us on the Services, constitute the entire agreement between you and Rosecord regarding your use of the Services.

14.2 Severability

If any provision of these Terms is found to be invalid or unenforceable by a court of competent jurisdiction, such provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect and enforceable.

14.3 Waiver

No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term, and our failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.

14.4 Assignment

We may assign our rights and obligations under these Terms, including in connection with a merger, acquisition, sale of assets or equity, or by operation of law. You may not assign these Terms without our prior written consent.

16. ACKNOWLEDGMENT

BY USING OUR SERVICES, YOU ACKNOWLEDGE THAT YOU HAVE READ THESE TERMS OF SERVICE, UNDERSTAND THEM, AND AGREE TO BE BOUND BY THEM. IF YOU DO NOT AGREE TO THESE TERMS, YOU MUST NOT USE OUR SERVICES.

SPECIAL NOTICE REGARDING SECTION 5.2 (DATA COLLECTION AND USAGE RIGHTS): BY USING OUR SERVICES, YOU EXPLICITLY ACKNOWLEDGE AND AGREE THAT WE HAVE BROAD RIGHTS TO COLLECT, USE, SHARE, AND COMMERCIALIZE YOUR DATA AS DESCRIBED IN SECTION 5.2. PLEASE REVIEW SECTION 5.2 CAREFULLY BEFORE USING OUR SERVICES.
